Connect Zero terms and conditions

These terms govern your use of the three Connect Zero products: Connect Zero for 3CX, Connect Zero for ConnectWise Xero Invoice Sync, and Connect Zero for Timesheets. Each product is licensed and billed separately but the terms below apply to all three.

Essential Definitions for Using Connect Zero Services

"Account" means the customer account created when you sign up for a Connect Zero product. "API" means the application programming interface that Connect Zero uses to communicate with third-party services. "Connect Zero", "we", "us", "our" means the Adelaide-based Australian software business that operates the three integration products. "Customer Data" means the data your team enters into the source systems your account has connected. "Services" means the three Connect Zero products and any related product features, support, and documentation. "Subscription" means the recurring billing arrangement that gives your account access to the services.

Your rights

Connect Zero grants you a non-exclusive, non-transferable right to use the services for your business operations during the term of an active subscription. You may install the products in any number of locations you have licensed. You may export your data at any time during the subscription. You may cancel the subscription at any time through the in-product cancellation flow.

Your obligations

You agree to use the services only for lawful business purposes. You agree to maintain accurate account information. You agree not to attempt to reverse-engineer, decompile, or extract the source code of the services. You agree not to share account credentials with parties outside your organisation. You must not use the services to transmit content that is illegal under applicable law, to send unsolicited commercial communications, or to interfere with the operation of the services for other customers.

The services

Connect Zero provides the three products on a software-as-a-service basis. We aim for high availability but do not guarantee uninterrupted operation. We schedule maintenance windows during off-peak hours and notify customers in advance where reasonably practicable. We may update or modify product features during the subscription term; material changes affecting your subscription are communicated in advance via the support email on file.

Intellectual property

Connect Zero retains all intellectual property rights in the services, the software, and the documentation. Customer Data remains the property of the customer. By using the services you grant Connect Zero a limited licence to process Customer Data solely for the purpose of providing the services.

Third-party services

The Connect Zero products integrate with third-party services (ConnectWise Manage, Xero, 3CX, the CRM platform). These services are operated by their respective providers under their own terms. Connect Zero is not responsible for the availability, behaviour, or terms of the third-party services.

Charges and payments

The Connect Zero for ConnectWise Xero Invoice Sync product and the Connect Zero for Timesheets product are billed in AUD via Stripe on a monthly subscription. Tier pricing is published on the respective product pricing pages. The Connect Zero for 3CX product is billed in USD via the CRM marketplace platform's billing system. Failed payments may result in service suspension after a documented dunning period.

Term, termination, and suspension

Subscriptions renew automatically each billing period unless cancelled in advance through the in-product cancellation flow. You may cancel at any time, and cancellation takes effect at the end of the current billing period. Connect Zero may suspend or terminate a subscription for breach of these terms, persistent failed payment, or activity that violates the acceptable use clause. Each renewal extends the subscription for one further billing period at the then-current published price.

Confidentiality

Each party agrees to keep confidential the other's non-public information disclosed in the course of the customer relationship. This obligation survives termination of the subscription. Customer Data is treated as confidential and handled according to the privacy policy.

Data protection and privacy

The processing of Customer Data is governed by the privacy policy. Connect Zero processes Customer Data only to the extent necessary to provide the services. We do not use Customer Data to train external models or for any purpose other than running the integration sync, supporting the customer, and meeting our legal obligations.

Disclaimer of warranties

The services are provided on an "as is" and "as available" basis. Connect Zero makes no warranty that the services will be uninterrupted, error-free, or meet a specific customer's requirements beyond what is set out in the published product documentation. To the maximum extent permitted by law, all implied warranties are excluded. This clause does not exclude any consumer guarantees that apply by force of Australian law (the Australian Consumer Law).

Limitation of liability

To the maximum extent permitted by law, Connect Zero's total liability under or in connection with these terms is limited to the amount paid by the customer for the affected service in the twelve months immediately preceding the event giving rise to the claim. Connect Zero is not liable for indirect, consequential, or special damages.

Indemnification

The customer agrees to indemnify Connect Zero against any third-party claim arising from the customer's misuse of the services, breach of these terms, or violation of applicable law. Connect Zero will provide reasonable notice and cooperation in defending any such claim.

Miscellaneous

Governing law. These terms are governed by the laws of South Australia. Any dispute is subject to the exclusive jurisdiction of the South Australian courts.

Assignment. The customer may not assign these terms without prior written consent. Connect Zero may assign these terms in connection with a corporate reorganisation, sale of substantially all assets, or similar transaction.

Severability. If any part of these terms is held unenforceable, the remainder continues in effect.

Entire agreement. These terms, together with the privacy policy and the published product documentation, constitute the entire agreement between the customer and Connect Zero with respect to the services.

3.1 Acceptable Use Policy

Examples of unacceptable use include unauthorized access to the services, distribution of harmful content, or any actions that could compromise the security and integrity of Connect Zero's systems. Users are encouraged to familiarize themselves with these guidelines to avoid potential violations and penalties.

8.5 Subscription Renewal Terms

This section details the terms surrounding the renewal of subscriptions to Connect Zero's services. Understanding these terms is essential for users to ensure uninterrupted access to the services they rely on for their business operations.

Subscriptions will auto-renew unless the user provides written notice of non-renewal at least thirty (30) days prior to the expiration of the current term. This policy helps users manage their subscriptions effectively and avoid any unexpected service interruptions.

10.3 User Data Processing

User Data Processing refers to how Connect Zero handles and processes customer data while providing its services. This section aims to clarify the responsibilities of both Connect Zero and its users regarding data handling and privacy.

Connect Zero commits to processing customer data in compliance with applicable data protection laws, ensuring that user information is handled securely and responsibly. This includes measures such as data encryption and regular audits to protect against unauthorized access.

14.5 Governing Law and Jurisdiction

The Governing Law and Jurisdiction clause specifies the legal framework that governs the Terms and Conditions of Connect Zero. This is important for users to understand the legal context in which their rights and obligations are defined.

All disputes arising from these Terms will be governed by the laws of the jurisdiction specified in the agreement, and any legal proceedings must be conducted in the courts of that jurisdiction. This provision helps to provide clarity and predictability for users regarding potential legal matters.
